Bollettino 231

2 novembre 2026 · finestra osservata: 26 ottobre – 2 novembre 2026

Bollettino n. 12

Law No. 196 of 23 October 2026 — Conversion into law, with amendments, of Decree-Law No. 154 of 28 August 2026, laying down urgent measures to ensure the operational continuity of plants of national strategic interest (GU Serie Generale No. 249 of 26 October 2026, editorial code 26G00212; in force 27 October 2026). Conversion text read, together with its annex of amendments.

Out of scope — verified, not assumed. The title placed the act inside the perimeter twice over: a conversion law (the ordinary vehicle by which a predicate offence is added to the 231 catalogue during parliamentary passage) and strategic industrial plants (a work-safety and environmental process area). Both grounds were checked on the text.

What the conversion actually does. Article 1(1) converts the decree "with the amendments set out in the annex"; Article 1(2) provides for entry into force on the day following publication. The annex contains a single amendment: in Article 1(1)(g) of the decree the words referring to undertakings operating at least one plant of national strategic interest within the meaning of Decree-Law No. 207/2012 are deleted, the heading of that provision becomes "Disposizioni in materia di imprese in stato di insolvenza" and the decree's own title is amended correspondingly. The conversion therefore narrows the decree's scope from strategic plants to insolvent undertakings.

It contains no criminal provision, no penalty, no exemption from liability, and no amendment to Legislative Decree 231/2001 or to Legislative Decree 81/2008.

Expected effect: none. Neither the catalogue nor the ceilings nor the expected presidia are affected.

Legislative Decree No. 197 of 28 September 2026 — Transposition of Directive (EU) 2024/1785 amending Directive 2010/75/EU on industrial emissions (integrated pollution prevention and control) and Directive 1999/31/EC on the landfill of waste (GU Serie Generale No. 251 of 28 October 2026, editorial code 26G00213; entry into force 12 November 2026, stated by both the Gazzetta's own act page and Normattiva). Forty-five articles and one annex: Chapter I, Articles 1 to 42, amends Legislative Decree No. 152/2006; Chapter II, Articles 43 to 45, contains the transitional and final provisions. Articles 1 to 20 read on the primary source; Articles 21 to 45 not reachable on any primary text in this session — see §8.

It does not amend Legislative Decree 231/2001 and it creates no predicate offence. The provisions of Legislative Decree No. 152/2006 referenced by Article 25-undecies of Legislative Decree 231/2001 — Articles 137, 256, 257, 258, 259, 260, 260-bis and 279 — are not among those amended, and Article 29-quattuordecies, which the decree does amend, is not referenced by Article 25-undecies. No provision of the decree refers to Articles 452-bis et seq. of the Criminal Code.

Article 21 amends Article 29-quattuordecies of Legislative Decree No. 152/2006 — the AIA penalty regime — and in one respect it narrows criminal exposure rather than widening it. On the parliamentary dossier for the draft decree: paragraph 3(a) confines the criminal penalty for breach of emission limit values to emissions at the point of discharge from the installation, excluding partial discharges; paragraph 3(b) disapplies the waste-management penalty in the cases for which Title VI of Part Four lays down specific administrative penalties; paragraph 10 extends the administrative penalty for documentary omissions to breach of the environmental management system obligations under Article 29-sexies(1-bis); paragraph 12 replaces the generic reference to "sanzioni" with "sanzioni amministrative" and designates the regional authority as the imposing authority for regional installations; a new paragraph 12-bis introduces aggravating circumstances, namely repetition of the breach and the compromising of a high level of protection of health or of the environment; paragraph 13 and a new paragraph 13-bis earmark the proceeds of administrative penalties for strengthening inspections. The amounts and the final wording of Article 21 are not confirmed on the enacted text — da verificare; see §8.

Article 29-terdecies(4-bis), read on the enacted text, provides that breach of the restrictions on confidential commercial information is penalised under Article 325 or Article 623 of the Criminal Code. Neither is a 231 predicate offence.

Expected effect: it moves no 231 figure, and it redefines the expected presidia in the environmental process area. The operator must establish and implement an environmental management system by 1 July 2030, subject to audit at least every three years by an accredited body or accredited environmental verifier (Article 29-sexies(1-bis)); must include in it an indicative transformation plan by 30 June 2030 (Article 29-sexies(9-decies)), whose conformity the audit organisation verifies by 30 June 2031 (paragraph 9-undecies); full electronic permitting is to be developed by 31 December 2035 (Article 9(4-ter)). A new Title III-ter and Annex VIII-bis bring intensive pig and poultry farming within the permitting regime, with cumulation of nearby installations under the same operator or operators linked economically, legally or functionally (Article 29-sexiesdecies), monitoring of emissions and retention of records for at least five years (Article 29-duodevicies).

Legislative Decree No. 199 of 9 October 2026 — Provisions implementing Article 27 of Law No. 91 of 13 June 2025, adapting national law to Regulation (EU) 2022/1616 on recycled plastic materials and articles intended to come into contact with food (GU Serie Generale No. 253 of 30 October 2026, editorial code 26G00217; entry into force 14 November 2026). Five articles and one annex, read in full.

It does not amend the Criminal Code and it does not amend Legislative Decree 231/2001. The penalty regime it redefines is entirely administrative. Article 1 states the decree's purposes, among them the redefinition of the penalty system for breaches of the Regulation, the setting of official-control fees and the establishment of a national database; Article 2 establishes that database at the Ministry of Health; Article 3 replaces Article 9 of Legislative Decree No. 29 of 10 February 2017 with eighteen brackets of administrative pecuniary penalties, each opening with "salvo che il fatto costituisca reato"; Article 4 amends Legislative Decree No. 32 of 2 February 2021 as to official-control fees, without creating penalties; Article 5 is the financial-neutrality clause.

The brackets, for the record. Production or placing on the market of materials containing recycled plastic from a non-authorised process, or under a suspended or revoked authorisation: EUR 7,200 to 72,000, with suspension of activity for one to six months, or three to twelve months where the breach is serious or repeated. Use of such materials: EUR 6,000 to 60,000, reduced to EUR 4,000 to 40,000 for small and micro undertakings, with recall, withdrawal or destruction. Failure to comply with the conditions of the authorisation: EUR 3,000 to 30,000, with suspension. Closed-loop recycling in breach of the conditions: EUR 4,000 to 30,000, with suspension. Documentation, instructions and labelling: EUR 3,000 to 18,000. Waste managers in the input supply chain: EUR 4,000 to 35,000. Decontamination duties: EUR 4,000 to 35,000. Converters, food operators and retailers: EUR 3,000 to 18,000, reduced to EUR 2,000 to 12,000 for small and micro undertakings. Information duties of the scheme holder: EUR 5,000 to 40,000. Failure to notify a novel technology: EUR 5,000 to 40,000. Failure to publish the report: EUR 1,000 to 8,000. Information not made available at the plant: EUR 3,000 to 20,000. Information duties of the authorisation holder: EUR 3,000 to 18,000. Failure to notify by the recycler: EUR 5,000 to 40,000. Failure to transmit the summary sheet: formal notice to comply within thirty days, then EUR 3,000 to 18,000. Non-compliant batch of recycled plastic: EUR 4,000 to 35,000. Non-compliant recycling installation: EUR 4,000 to 35,000. Content of declarations of compliance: EUR 3,000 to 18,000. Paragraph 19 requires damage to persons or property to be taken into account in setting the penalty.

Expected effect: none. No criminal offence is created, so no predicate offence can arise; the exposure is administrative and falls on the undertaking outside the quota system, but unlike the five instances recorded at §1.2 of Bulletin No. 11 it is not indexed to turnover and its maxima are an order of magnitude below the quota ceiling. It is recorded, not carried.

Legislative Decree No. 186 of 25 September 2026 entered into force on 31 October 2026, inside this window. The two new confiscation channels of Articles 240-ter and 240-quater of the Criminal Code are now law in force.

Confirmation on the primary source. The Gazzetta's own act page for editorial code 26G00203 (GU Serie Generale No. 241 of 16 October 2026) states "Entrata in vigore del provvedimento: 31/10/2026". The decree transposes Directive (EU) 2024/1260 on asset recovery and confiscation.

Nothing to correct. The closed lists of predicate offences carried by both articles, and the presence of the TUF market abuse offences in the second paragraph of each, were read on the official Gazzetta PDF, page 9, and reported in Bulletin No. 11. This window adds only the fact that the regime is now operative, and therefore that the exposure recorded there — Articles 316-bis, 316-ter and 640-bis under Article 24; 615-ter, 615-quater, the 617 series and the 635-bis series under Article 24-bis; 416 and 416-bis under Article 24-ter; 322-bis under Article 25; 453, 461 and 493-ter under Article 25-bis; Articles 2635 and 2635-bis of the Civil Code under Article 25-ter(s-bis); the 600 series, 601, 602 and 609-undecies under Article 25-quinquies; market abuse under Article 25-sexies; 648-bis, 648-ter and 648-ter.1 under Article 25-octies; 452-bis, 452-quater, 452-sexies and 452-quaterdecies under Article 25-undecies — is current from 31 October and not prospective.

The Gazzetta act page carries an «Avviso di rettifica / Errata corrige» tab. No corrigendum to this act was found by open search, and the tab appears to be a fixed element of the page template rather than a live notice. Da verificare, with no bearing on the dates or the text already read.

Legislative Decree No. 184 of 25 September 2026 entered into force on 30 October 2026, inside this window. Read in full, ten articles: it introduces no penalty and modifies none. The point left open by the previous bulletin closes, negatively.

Extremes. Transposition of Directive (EU) 2023/2864 and adaptation of national law to Regulations (EU) 2023/2859 and 2023/2869 on the establishment and operation of the European Single Access Point (ESAP). GU Serie Generale No. 240 of 15 October 2026, editorial code 26G00202; entry into force 30 October 2026, stated on the Gazzetta's own act page. The articles were read on a PDF of the decree hosted by a qualified technical source, article by article with rubrics; the extremes and the date are on the primary source.

Structure. Article 1, definitions of ESAP and of soggetto. Article 2, transposition of Directive (EU) 2023/2864, amending Legislative Decree No. 142/2005, the TUF, Legislative Decree No. 39/2010, the Insurance Code, Legislative Decree No. 252/2005, Law No. 130/1999, the TUB and Legislative Decree No. 180/2015. Articles 3 to 6, transposition of Articles 9, 10, 11 and 15 of the Directive (Accounting, CRD IV, BRRD, IFD), with transmission duties running from 2028 and 2030. Article 7, designation of the collection bodies, Consob from 10 July 2026. Article 8, notification to ESMA of those designations by 9 January 2028 or 2030. Article 9, legal entity identifier. Article 10, financial-neutrality clause.

What it does to the TUF. Article 2(2) adds the definition of ESAP to Article 1(1)(w-undecies); inserts a new Article 4-septies.3 governing transmission to and accessibility through ESAP of corporate, institutional-investor and manager information, designating Consob as collection body in several cases; and replaces Article 195-ter(1-bis) on the communication of penalties to ESMA and to ESAP.

What it does not do. It sets no penalty amounts and creates no new penalty. What it regulates is the publication and transmission through ESAP of information about penalties already imposed — Article 195-ter TUF, Article 145-ter TUB, and the accessibility provisions of Articles 4, 5 and 6. It does not touch Articles 184, 185, 187-ter.1 or 187-quinquies of the TUF. The bracket of EUR 150 to 150,000 appearing in the notes is the delegation criterion of Article 32 of Law No. 234/2012, not a penalty laid down by this decree.

Expected effect: none. No 231 figure moves and no parallel channel is created. The connection with Legislative Decree No. 189/2026, which rewrote Article 187-ter.1 of the TUF inside the previous window, is one of subject matter only: the two decrees do not overlap. The suspicion, carried for two weeks, that an act amending the TUF might carry a penalty profile is closed: it does not.

Ambiente — D.L. 177/2026, in conversione.

ANAC, Decision No. 344 of 9 September 2026 — "Presunte violazioni del d.lgs. n. 24 del 2023". Sanctioning proceedings opened by note prot. ANAC No. 14079 of 11 February 2026; confidential file ANAC UWHIB 20250120 - 3860. Published on ANAC's institutional site under the date of adoption.

Outcome. A fine of EUR 15,000 on each of the three members of the body managing a company's internal reporting channel — EUR 45,000 in all — for breach of Article 12 of Legislative Decree No. 24 of 2023. The separate charge of failure to manage the report, under Article 21(1)(b), was dismissed.

The holding. Confidentiality does not attach only to the reporting person's name: it protects any information from which that person's identity may be derived, including indirectly. A generic reminder of confidentiality addressed to the persons interviewed during the investigation is not sufficient, because it does not prevent them from inferring for themselves who made the report. Breach of Article 12 may be committed negligently and without direct disclosure of identity, where the information circulated allows the reporting person to be traced. Identifiability is assessed by reference to Recital 26 of the GDPR and to the dynamics of singling out and inference. The offence is one of endangerment, so actual identification need not be proved, although in the case decided it was held proved on circumstantial evidence. ANAC's sanctioning power does not extend to the merits of the manager's investigative assessments.

Expected effect: it moves no figure, and it changes what counts as an adequate presidio. The internal reporting channel is required of the 231 model by Article 6(2-bis) of Legislative Decree 231/2001, as amended by Legislative Decree No. 24/2023. What this decision relocates is the point at which the duty bites: not the platform, which may be encrypted and compliant, but the investigative technique applied after the report arrives — which information is shared, how interviews are framed, and which combinations of detail make the reporting person recognisable. Where the OdV itself receives or handles reports, its members are exposed personally, as the three sanctioned persons were.

Court of Cassation, Third Criminal Division, No. 34744/2026 — the question at top priority, stalled for five weeks, is now read in substantial textual portions. This is the week's firmest result on this front.

Extremes, now established. Hearing 7 July 2026; filed 28 September 2026. Third Criminal Division. One source labels the judgment "Cass. Civ." in its page metadata while describing it in the body as "Cassazione penale, Sezione III"; the metadata is wrong — the subject matter is criminal and the division is the Third Criminal Division. The discrepancy is recorded, not carried.

How it was read. A qualified source reproduces the judgment under a heading "LA SENTENZA", carrying the Svolgimento del processo, the Motivi della decisione, the P.Q.M. and the Conclusione, with (Omissis) markers and gaps. This is not the official text and the headnote principles are the publisher's own editorial work, but the procedural history, the figures and the operative reasoning come from the judgment itself.

Organizational fault. Colpa di organizzazione is a constitutive element of the entity's liability and must be proved concretely, as a causally relevant organizational deficit. Failure to adopt a 231 model, or inadequate implementation of one, is not sufficient on its own. Subsequent adoption of a model may reduce the fine but does not automatically exclude interdictive sanctions.

Quantification of the confiscable profit — the point that bears on a number. In fraud for the obtaining of public funding under Article 640-bis of the Criminal Code, the confiscable profit may be the entire sum wrongly received where no economically appreciable benefit reaches the public administration. In the case decided, the Court of Appeal had retained the figure of EUR 309,260.45, the amount actually paid to the company, holding the Region's benefit so slight as to be "impalpabile". The judgment positions this against Joint Divisions No. 26654/2008, which excludes from the profit any benefit tied to performance under a synallagmatic contract, and Second Division No. 43676/2021, which supports taking the full amount.

Survival of the entity's offence beyond the limitation of the predicate offence. Where the predicate offence is time-barred, the court may still hold the entity liable, provided it verifies incidentally that the criminal act occurred and that the attribution criteria of Legislative Decree 231/2001 are met. On that basis the company's EUR 50,000 penalty was upheld.

Effect, stated precisely. No quota moves: the bracket of Article 24 of Legislative Decree 231/2001 is unchanged. What moves is the confiscation base and the limitation arithmetic. On the first: where the administration derived no appreciable utility, the profit is the gross financing and not the net margin, which is a materially different figure for the same facts. On the second: the entity's five-year period under Article 22 runs on its own, and the extinction of the predicate offence does not extinguish it. Both of these are interpretations, not figures; but the first changes what a confiscation estimate on an entity exposed to Article 24 should be computed on, and that is a quantification rule, not a commentary.

Verification status. «Da verificare» is downgraded, not cleared. Extremes, procedural history, the EUR 309,260.45 and EUR 50,000 figures and the operative reasoning are now read in reproduced text; the official text has still not been obtained, the judgment is not published on the Court's institutional site, and CED/Italgiure was not queried. No figure should be drawn from it before the original is read, but the question is no longer blocked.

Court of Cassation, Joint Criminal Divisions, Nos. 36525 and 36526 of 16 October 2026 — a third independent commentary, published inside this window, concurs. The original text is still unread.

A note published on 27 October 2026 reports the Joint Divisions' holding in the same terms as the two sources of 20 October: the fraud is consummated on the perfecting of the first assignment, that is on communication of the election and acceptance of the credit by the supplier or assignee; the mere creation of the credit is not enough; in the invoice-discount variant the accrual of the credit in the supplier's tax account may itself complete the offence. On confiscation it adds the consequence in explicit terms: the requalification from attempted to consummated is decisive, because Articles 640-quater and 322-ter of the Criminal Code permit confiscation of the profit by equivalent only for the consummated offence. On seizure it reports that preventive seizure may reach credits held by a third party extraneous to the fraud and in good faith, where their free availability may aggravate the consequences of the offence, and that the assignee's protection under tax law does not automatically exclude criminal precautionary attachment.

Effect, unchanged in direction, now on three concurring sources. No quota moves: both the offence displaced, Article 316-ter, and the offence substituted, Article 640-bis, sit in the same bracket of Article 24. What moves is the date on which the entity's administrative offence begins to run, and therefore the start of the five-year period under Article 22, and the moment at which the confiscable profit crystallises.

Verification status. Extremes, bench and holding remain read on the Court's own decision pages, from the previous two windows. The original text has still not been read: the PDF at the Court's document URL for No. 36526 returned binary content with no extractable text in the previous session, as did No. 36525 the week before. No new attempt was made in this session, and that is a gap, not a conclusion: the decision pages were reached in earlier windows and could have been reached again. Three independent qualified sources now concur. Nothing on confiscation moves on commentary alone.

Court of Cassation, Third Criminal Division, No. 33224/2026, filed 10 September 2026 — a new item, surfaced by an in-window commentary. The judgment is outside the window; the commentary is inside it.

What is reported. Fraudulent conduct directed solely at tax evasion exhausts its wrongfulness in the special tax offences; concurrence with fraud is configurable where a further profit results, such as the undue obtaining of public funding. In the invoice-discount mechanism the acquisition of the credit is a utility distinct from the mere tax saving, and it is on that distinction that the concurrence rests. The offence is complete on the deminutio patrimonii of the victim; the judgment cites No. 45868/2024, under which the fraud is consummated on the exercise of the election and the creation of the credit, without need of assignment or set-off, while its reasoning also relies on assignments actually performed and sums actually received. One commentary notes an internal inconsistency in its own account of whether the review court confirmed or annulled the seizure; the point is the publisher's, not the Court's.

Why this matters. It allocates the same facts between two different 231 families. Tax offences are predicates under Article 25-quinquiesdecies; fraud for public funding under Article 24. The brackets are not the same, so the allocation is a quantification question and not only a classification one. Concurrence, where it holds, means both.

Verification status: «da verificare». Single commentary, published 27 October 2026; the judgment has not been read and its division is reported but not confirmed on an institutional page.

Sez.

Cass. Sez. I n. 31505 e Cass. Sez.

Germany — BT-Drs. 21/6133 (§ 30 OWiG: corporate fine from EUR 10 million to EUR 40 million for intentional offences, from EUR 5 million to EUR 20 million for negligent ones). No sitting week in the window. But the agenda of the 2–6 November sitting week was published on 28 October, inside the window, and the bill is not on it.

What the agenda shows. The Bundestag's own press announcement of 28 October 2026 sets out the committee programme for 2–6 November 2026: on Monday, Economy and Energy, Defence, Labour and Social Affairs, the Covid committee of inquiry, Finance, and Education/Family/Seniors/Women/Youth; on Wednesday, Economy and Energy, Environment (radiation protection), Research and Technology, Finance, Agriculture, Digital, Tourism, Health, Housing, the sustainable-development committee and Health again; on Friday, Economy and Energy. The Committee on Legal Affairs and Consumer Protection — the committee holding the bill — does not sit at all in that week, and Drucksache 21/6133 appears nowhere on the programme.

New this window: the procedural position of the bill, established on a qualified source. The bill is a Federal Government bill. A public hearing was held in the Committee on Legal Affairs and Consumer Protection on 6 July 2026. The transposition deadline for Directive (EU) 2024/1203 expired on 21 May 2026. The bill has not completed its passage and is not in force.

New this window, and substantive: the bill does more than raise the ceiling. The EUR 40 million / EUR 20 million maxima would not be confined to environmental offences but would apply to every offence capable of serving as the reference act for a sanction under § 30 OWiG. The bill also inserts a new § 30(2a) OWiG setting out the criteria for fixing the amount, among them the compliance measures taken to prevent and detect wrongdoing. That is the German analogue of the organizational-fault discount, and if enacted it would give German law a mitigation dimension in the fixing of the fine that it does not have today. Read on a qualified specialist source dated 25 August 2026, not on the Drucksache; the amounts concur with the bill as recorded since Bulletin No. 2. Da verificare on the Drucksache itself.

Assessment. «In stallo» is confirmed, and this week on evidence rather than on absence. Two available sitting weeks were consumed in October without the bill; the first sitting week of November is calendared and does not contain it, nor does it contain a sitting of the committee that holds it. The first week in which the bill could realistically appear is 9–13 November. The remaining 2026 sitting weeks are 9–13 and 23–27 November, then 7–11 and 14–18 December.

Effect: none. The German ceiling stays at EUR 10,000,000.

Transposition of the three tracked directives — no step in any Member State in the window. Two register enrichments.

Directive (EU) 2024/1203 (environmental offences). No transposition step completed anywhere. The standing record is that of Bulletin No. 11: twenty-three Member States, including Germany, Spain, France and Romania, received letters of formal notice in the Commission's infringement package of 15 July 2026 for failure to notify complete transposition. No new infringement package was adopted in this window: the most recent remains that of 1 October 2026, whose only decision on the tracked directives is the reasoned opinion to Ireland on Directive (EU) 2024/1226 (INFR(2025)0227), already recorded.

Enrichment — Romania. The Ministry of Environment, Waters and Forests put out for public consultation, on 14 July 2026, a draft law transposing Directive (EU) 2024/1203, raising penalties for environmental offences substantially and providing imprisonment of up to twenty years where death results. This moves the Romanian row from "formally in default, no step found" to "formally in default, draft in public consultation since July 2026, not adopted". Read on open sources including the Ministry's own press release page; the draft text was not read. Da verificare, and it changes no figure: the ceiling for legal persons in Romania moves only on adoption.

Enrichment — Spain, and it bears on the size of the step. The Spanish transposition of Directive (EU) 2024/1226 is proyecto de ley orgánica 121/000072, published in the BOCG on 31 October 2025 (BOCG-15-A-72-1), still in the Comisión de Justicia of the Congreso under urgent procedure and still at the amendment stage: it has not reached ponencia or plenary, neither chamber has voted, and nothing has been published in the BOE. No tramitación step later than 28 October 2025 was found, for the fourth consecutive bulletin. What is new is the magnitude: for the offences of the proposed Articles 604 bis and 604 ter of the Spanish Criminal Code the fine on legal persons would reach 5% of worldwide turnover; for Article 604 quater, 1%. The Spanish step is therefore two-tiered, as Directive (EU) 2026/1021 turned out to be — which is a second instance of the premise corrected in Bulletin No. 4, and any comparison of ceilings must carry tiers rather than a single maximum per country. Qualified secondary source dated 7 and 14 September 2026. Da verificare on the BOCG text.

Directive (EU) 2024/1226 (restrictive measures). No new step in the window beyond the Spanish position above. Germany remains the only transposition recorded, with the turnover-indexed option refused and a fixed EUR 40 million ceiling placed in the AWG rather than in § 30 OWiG.

Directive (EU) 2026/1021 (corruption). No transposition step found anywhere. With the deadline of 1 June 2028 closed on the primary source in Bulletin No. 9, this remains the expected result.
